1. Definitions
In these Terms:
- "HLPER", "we", "us", "our" means HLPER Ltd., operator of the website and services at hlper.co.uk.
- "Service" means the website, its features and any content, products or services offered via hlper.co.uk.
- "User", "you", "your" means any person using the Service.
- "Content" means text, images, files, data, notes, flashcards, and other material available on or submitted to the Service.
2. Eligibility & Account Registration
To access certain parts of the Service you must register for an account and provide accurate, complete and up-to-date information. You are responsible for safeguarding your account credentials and for any activity that occurs under your account.
You must be at least 16 years old (or the minimum age required by applicable law) to register. If you are under that age you may only use the Service with parental or guardian consent.
3. Use of the Service
You agree to use the Service lawfully and in accordance with these Terms. You must not:
- disrupt or attempt to gain unauthorised access to the Service;
- upload or distribute malware, viruses or other harmful code;
- publish content that is unlawful, defamatory, obscene or infringes third party rights;
- scrape, harvest or reproduce the Service except as expressly permitted by us.
4. Subscriptions & Payment
HLPER may provide Free Plans and paid Subscription Plans. Details of current plans and pricing are available on our Pricing page. By subscribing to a paid plan you agree to pay the fees shown at the time you subscribe.
Payments are processed by our payment provider. Subscription fees are non-refundable except where required by applicable law (for example certain statutory cancellation rights in the UK).
We may change our prices or fees; changes will be notified to you and will not apply retroactively to amounts already paid.
5. Intellectual Property
All content and materials on the Service (including software, design, text, graphics and logos) are owned by HLPER or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive licence to access and use the Service for your personal, non-commercial use only.
You must not copy, modify, distribute, publish, create derivative works from, transfer, sell or otherwise exploit the Service or its content without our prior written consent.
6. User-Generated Content
The Service may allow you to submit or upload content (for example notes or flashcards). You retain ownership of content you create.
By uploading or submitting content you grant HLPER a worldwide, non-exclusive, royalty-free licence to use, reproduce, adapt, publish and display that content to the extent reasonably required to provide and improve the Service.
You warrant that any content you provide does not infringe third-party rights, is not unlawful, and complies with these Terms.
7. Privacy & Data Protection
Our Privacy Policy explains how we collect and process your personal data. By using the Service you agree to the terms of that policy.
We implement reasonable technical and organisational measures to protect your personal data, but cannot guarantee absolute security.
8. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, HLPER's total aggregate liability to you in respect of all losses arising under or in connection with these Terms shall be limited to the greater of (a) the total fees paid by you to HLPER in the 12 months preceding the claim, or (b) £100.
We are not liable for indirect, special, incidental or consequential losses, including lost profits, lost data or loss of business opportunity.
9. Termination
You may cancel or delete your account at any time through your account settings or by contacting support. We may suspend or terminate your access if you breach these Terms or for other legitimate reasons (for example fraud or abuse).
On termination your right to access the Service ends. We may delete or anonymise your data in accordance with our data retention practices and Privacy Policy.
10. Changes to These Terms
We may update these Terms from time to time. Where changes are material we will provide reasonable notice (for example by email or a notice on the Service). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of England & Wales. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.
If your usual residence is in Scotland or Northern Ireland, you may have additional rights and local rules may apply; nothing in these Terms affects your statutory rights.
12. Miscellaneous
- If any provision of these Terms is found to be invalid or unenforceable, it will be severed and the remainder will continue in force.
- These Terms, together with our Privacy Policy and any other policies referenced, constitute the entire agreement between you and HLPER relating to the Service.
- We may assign our rights and obligations under these Terms. You may not assign your rights without our prior written consent.
